TERMS OF SERVICE

1. ACCEPTANCE OF TERMS
By accessing and using Apex App Studio provided by Sirius Marketing Corporation ("Sirius Marketing", "we", "us", or "our") through the GTO Mobile platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use Apex App Studio.
2. ACCOUNT REGISTRATION AND SUBSCRIPTION
Use of Apex App Studio is subject to a subscription-based account. By subscribing, you acknowledge that the subscription is billed in advance on a recurring basis and is non-refundable. There will be no refunds or credits for partial months of service, or refunds for months unused with an open account.
3. SUSPENSION FOR NON-PAYMENT
If your subscription is cancelled or payment is not successfully made, your account will not experience a complete loss of the apps you have created. However, your account will be suspended after a grace period of three (3) days from the subscription expiration date or failed payment date, during which you may settle any outstanding payments to reactivate your account.
4. CONTENT OWNERSHIP AND LICENSE
You retain copyright and any other rights you already hold in the app content you create through Apex App Studio. By using our services, you grant Sirius Marketing a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display the content solely for the purpose of providing the services.
5. USE OF SERVICE
You are responsible for complying with all applicable laws and regulations in the creation and maintenance of your apps and must not use the service for any unauthorized or illegal purposes. Prohibited content is outlined in Section 6.
6. PROHIBITED USES
You may not:
- Use the service in a manner that infringes upon any laws or rights, including intellectual property rights.
- Upload defamatory, obscene, abusive, or otherwise objectionable content.
7. NO REFUND POLICY
Due to the digital nature of our services, and considering that digital content cannot be returned, we do not provide refunds.
8. CANCELLATION
You may cancel your subscription at any time, with the understanding that you are responsible for all charges accrued up to the time of cancellation. Upon cancellation, your account will be suspended after the aforementioned three-day grace period.
9. DISCLAIMERS
Apex App Studio is provided "as is" without any warranty. Sirius Marketing disclaims all warranties, express or implied, including but not limited to warranties of merchantability and fitness for a particular purpose.
10. LIMITATION OF LIABILITY
Sirius Marketing will not be liable for any indirect, incidental, special, consequential or punitive damages arising from the use of Apex App Studio.
11. INDEMNIFICATION
You agree to indemnify Sirius Marketing and its affiliates from any claims, liabilities, and expenses arising from your use of the service or your breach of these Terms.
12. GOVERNING LAW
These Terms are governed by the laws of the State of Hawaii, without regard to its conflict of law provisions.
13. CHANGES TO TERMS
We reserve the right to modify these Terms at any time. Notice of material changes will be given at least 30 days in advance.
